These Terms of Service ("Terms") govern your use of the GreenlitKit service ("GreenlitKit", "the Service"), provided by ToggleKit Ltd ("we", "us", "our"), a company registered in England and Wales (company number 17020947). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a firm, you confirm you are authorised to bind that firm.
The Service
GreenlitKit helps UK accountancy firms track Companies House identity verification status for directors and PSCs across a portfolio of client companies. It presents information sourced from the Companies House public register, calculates indicative deadlines, and provides reminders and reporting tools.
Not legal or compliance advice
GreenlitKit is an informational tool. It does not provide legal, accounting, or compliance advice, and it does not carry out identity verification on your behalf. You remain responsible for your own and your clients' compliance with the Economic Crime and Corporate Transparency Act 2023 and all Companies House requirements. Verification deadlines shown are indicative and should be confirmed against current Companies House guidance.
Data accuracy
Director and PSC information is sourced from the Companies House Public Data API and is only as current and accurate as the public register. We refresh data regularly but do not warrant that it is complete, error-free, or up to date at any given moment. You should verify critical information directly with Companies House.
Accounts
You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly of any unauthorised use. You must provide accurate account information and keep it current.
Acceptable use
You agree not to misuse the Service, including: attempting to access it by unauthorised means, reverse-engineering or scraping it, using it to breach Companies House API terms, overloading the infrastructure, or using it for any unlawful purpose. We may suspend accounts that breach these Terms.
Subscriptions and billing
Paid plans are billed in advance on a recurring basis through Stripe. Paid tiers include a 14-day free trial. You can cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. We may change pricing on reasonable notice, with changes applying from your next billing period.
Intellectual property
We own all rights in the Service, including its software, design, and branding. You may use the Service only as permitted by these Terms. Public register data remains subject to Companies House terms. Any data you input remains yours, and you grant us the rights needed to operate the Service for you.
Availability
We aim to keep the Service available but do not guarantee uninterrupted access. We may carry out maintenance, update features, or modify the Service. We are not liable for downtime caused by third-party providers, including Companies House or our infrastructure suppliers.
Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect or consequential loss, loss of profit, or loss arising from reliance on data presented by the Service or from missed deadlines. Our total liability to you in any 12-month period is limited to the fees you paid us in that period. Nothing in these Terms limits liability that cannot be excluded by law.
Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or where required by law. On termination, your right to use the Service ends and we may delete your data after a reasonable period, subject to records we must retain.
Changes to these Terms
We may update these Terms from time to time. We will post the revised version here and update the "last updated" date. Continued use after changes take effect constitutes acceptance.
Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
